Terms of Service

These Terms of Service govern your use of the Zeity booking platform (hereinafter "Service"). By accessing or using Zeity, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use our Service.

1. Service Description

Zeity is a booking-software platform that lets businesses offer online appointment booking to their clients. As a client, you can browse a business's booking page and book an appointment without creating a Zeity account. Zeity provides only the technical platform. The appointment you book is a contract between you and the business you book with — Zeity is not a party to that contract, does not provide the booked service, and is not a broker, agent, or employer of the business. You pay the business (not Zeity) for the appointment; where online payment is enabled, Zeity's payment provider Stripe facilitates that payment on the business's behalf. Your use of the Zeity booking tool itself — browsing, booking, and managing your appointment via your confirmation email or magic link — is free of charge and governed by these Terms.

2. Contract Formation

When you book an appointment through Zeity: • You are entering into a legally binding contract with the business owner • The business owner's terms and cancellation policy also apply • Appointment confirmations are sent via email • Submitting the booking form constitutes acceptance of these terms

3. Your Withdrawal Right

The appointment contract you enter into when booking is with the business, not with Zeity. Whether you have a 14-day statutory right of withdrawal from that contract depends on the type of service booked and is a matter between you and the business. For services tied to a specific date and time that are of a leisure nature (Freizeitbetätigung), the business may be entitled to exclude the withdrawal right under §312g Abs. 2 Nr. 9 BGB, because the service is provided at a specific date agreed in advance. This exclusion typically does not apply to other types of appointments (for example medical, therapeutic, or other professional services). Where a withdrawal right does apply, the business is responsible for providing you with its own withdrawal instructions (Widerrufsbelehrung) explaining how, and until when, you may withdraw. Even where a withdrawal right applies, it lapses under §356 Abs. 4 BGB once the business has fully performed the service, provided you expressly requested that performance begin before the withdrawal period expired and acknowledged that the right would lapse on full performance. If you have questions about your withdrawal right for a specific booking, please contact the business directly using the details in your confirmation email.

4. Cancellations, Deposits and No-Shows

This section applies to you as a client booking an appointment. • The cancellation and refund terms for your appointment are set by the business you book with, not by Zeity. They are shown to you during booking and in your confirmation. • Where a business requires or offers upfront payment, it may set a deadline before the appointment after which a cancellation counts as 'late'. If you cancel before that deadline, you receive a full refund. If you cancel after it, or do not attend your appointment (a 'no-show'), the business may retain part or all of your payment in accordance with its cancellation policy. • Any refund due to you is issued to your original payment method and may take several business days to appear, depending on your bank or card provider. • If a business cancels your appointment, it is responsible for arranging any refund in accordance with its policy and applicable law. • Your statutory rights, including the withdrawal right described above where it applies, remain unaffected.

5. Data Processing and Privacy

Your personal data is processed by both Zeity and the business you book with. The business you book with is the controller of your personal data (such as your name, contact details, and appointment history) and is responsible for handling it lawfully and for informing you about that processing. Zeity processes this data on the business's behalf as a processor, under the Data Processing Agreement between Zeity and the business. 6. Limitation of Liability

Zeity is liable without limitation for damage resulting from injury to life, body, or health caused by an intentional or negligent breach of duty by Zeity, and for any loss or damage caused by intent or gross negligence. For the breach of a material contractual obligation (Kardinalpflicht) — an obligation whose performance is essential to the proper execution of the contract and on which you may reasonably rely — Zeity's liability for ordinary negligence is limited to the foreseeable damage typical for this type of contract. Beyond the cases described above, Zeity is not liable for ordinary negligence, including for technical failures or downtime of the booking tool, for the conduct or contract performance of the business you book with, or for third-party services used by the platform. This limitation does not affect any statutory liability that cannot be limited by agreement, such as liability under the Product Liability Act (Produkthaftungsgesetz).

7. Alternative Dispute Resolution

Zeity is committed to resolving disputes between you and Zeity amicably. If you have a complaint about Zeity's booking tool itself, contact us first at info@zeity.me with details of your issue; we aim to respond within 30 days. Zeity is not required to, and does not currently, participate in a consumer arbitration board (Verbraucherschlichtungsstelle) procedure under the German Consumer Dispute Resolution Act (VSBG) for disputes with clients about the Zeity booking tool. Please note that this statement covers only Zeity. Each business using Zeity is separately responsible for its own §36 VSBG statement regarding disputes about the appointment or service it provides to you.

8. Governing Law and Jurisdiction

These Terms are governed by German law. If you have your habitual residence in a country other than Germany, this choice of law does not deprive you of any mandatory consumer-protection provisions of the law of that country which cannot be derogated from by agreement (Article 6, Rome I Regulation). Nothing in these Terms restricts your right, as a consumer, to bring proceedings before the courts of the country in which you have your habitual residence, or otherwise limits your statutory rights as a consumer regarding jurisdiction.

9. General Provisions

• Severability: If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. • Entire agreement: These terms, together with our Privacy Policy, form the entire agreement between you and Moon Regents regarding the Service and supersede prior agreements on its subject matter. • Assignment: You may not assign or transfer your rights under these terms without our consent. We may assign these terms to an affiliate or successor. • No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later. • Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control. Mandatory statutory rights of consumers remain unaffected by these terms.
